End-User License Agreement

End-User License Agreement for INSYDIUM LTD software products (PRODUCT) for MAXON’s Cinema 4D.

IMPORTANT : PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING OR INSTALLING ANY SOFTWARE.

For the purposes of this agreement INSYDIUM LTD, (INSYDIUM) a private limited company registered in the United Kingdom, shall be considered as the supplier of the software.

This End-User License Agreement (EULA) is a legal agreement between you, the Authorized User (either an individual or a single corporate entity), and INSYDIUM for the PRODUCT identified above, which may include associated software components, media, printed materials, and online or electronic documentation.

By downloading, installing, copying, or otherwise using PRODUCT you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you (the licensee) and INSYDIUM (the licensor), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not download, install or use the PRODUCT.

PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

The PRODUCT is licensed, not sold. INSYDIUM reserves the right to increase the price of its PRODUCT at any time deemed to be appropriate. 

INSYDIUM will not tolerate abuse and/or threats made to INSYDIUM staff and we reserve the right to take action if necessary.

1. GRANT OF LICENSE

PRODUCT is licensed as follows:

(a) Installation and Use.

INSYDIUM grants you the right to install and use a copy of PRODUCT on one computer running a valid licensed copy of MAXON’s Cinema 4D. In addition, Subscriptions, Complete licenses and perpetual licenses with Maintenance have one complimentary seat available. Only one complimentary seat per customer.

(b) Backup Copies.

You may also make copies of PRODUCT as may be necessary for backup and archival purposes, these are for your use only and must not be shared. All downloaded PRODUCTs are digitally signed with your license.

(c) Individual (Locked) licenses

An individual (Locked) license of PRODUCT is locked to the serial number of Cinema 4D. This may not be changed.

(d) Unlocked (Floating) licenses

Unlocked (Floating) licenses of PRODUCT may be used with any serial number of Cinema 4D including License Server installations.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

(a) Maintenance of Copyright Notices

You must not remove or alter any copyright notices on any and all copies of PRODUCT.

(b) Distribution

You may not distribute registered copies of PRODUCT to third parties. Every PRODUCT is uniquely encoded to the license and purchaser, we reserve the right to close any license in the case of piracy or public distribution violating this agreement.

(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly

You may not reverse engineer, decompile, or disassemble the PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Any alteration of the binary will result in termination of the license.

(d) Rental

You may not rent, lease, or lend the PRODUCT.

(e) Support Services

INSYDIUM will provide you with support services related to PRODUCT only with a valid license. Any supplemental software code provided to you as part of the support services shall be considered part of the software and subject to the terms and conditions of this EULA.

(f) Compliance with Applicable Laws

You must comply with all applicable laws regarding use of the PRODUCT.

(g) Cancelling and Refunds

By downloading the PRODUCT, you consent to waive your right to the 14-day cancellation period. Refunds are available within 30 days of purchase, please contact our Customer Services team. An admin fee may apply.

(i) Subscriptions

i) The INSYDIUM 3-Monthly Subscription consists of an initial three-month charge, followed by recurring charges every three months. By purchasing the INSYDIUM 3-Monthly Subscription, you agree to pay recurring three-monthly fees for an indefinite time until canceled by you. You can cancel your subscription at any time. You will not be charged for any cancelation.

ii) The INSYDIUM 6-Monthly Subscription consists of an initial six-month charge, followed by recurring charges every six months. By purchasing the INSYDIUM 6-Monthly Subscription, you agree to pay recurring six-monthly fees for an indefinite time until canceled by you. You can cancel your subscription at any time. You will not be charged for any cancelation.

iii) The INSYDIUM Annual Subscription consists of an initial one-year charge, followed by recurring annual charges. By purchasing the INSYDIUM Annual Subscription, you agree to pay recurring yearly fees for an indefinite time until canceled by you. You can cancel your subscription at any time. You will not be charged for any cancelation.

iv) If you wish to cancel your subscription you must cancel one day before your next payment is due to be collected, in order to avoid paying the next subscription charge. Customers canceling after their payment has been taken will receive the following subscription term as their final term. There are no refunds for the days leading up to your subscription end date.

v) INSYDIUM reserves the right to cancel your license and benefits in the event you cancel your subscription, reverse or fail to pay your subscription fee payment.

vi) INSYDIUM reserves the right to change the price of the subscription charges at any time. We will notify you of any rate change with the option to cancel.

(j) Maintenance

Fused Maintenance includes benefits for 365 days. If this product is purchased before your current Maintenance expires, 365 days will be added to your expiry date.

(k) Library Assets

If you wish to sell 3D assets created using our Library Assets you must include the following copyright notice with the files: © INSYDIUM LTD, part of the INSYDIUM Fused Collection. www.insydium.ltd.

3. TERMINATION

Without prejudice to any other rights, INSYDIUM may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the PRODUCT in your possession.

We also reserve the right to temporarily suspend licenses in cases where investigation is required. This includes, but is not limited to, suspected fraud, payment issues, legal issues and suspected piracy.

4. COPYRIGHT

All title, including but not limited to copyrights, in and to PRODUCT and any copies thereof are owned by INSYDIUM. All title and intellectual property rights in and to the content which may be accessed through use of PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by INSYDIUM.

5. NO WARRANTIES

INSYDIUM expressly disclaims any warranty for the PRODUCT. The PRODUCT is provided As Is without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, non-infringement, or fitness of a particular purpose. INSYDIUM does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within PRODUCT. INSYDIUM makes no warranties in respect of any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. INSYDIUM further expressly disclaims any warranty or representation to Authorized Users or to any third party.

6. LIMITATION OF LIABILITY

In no event shall INSYDIUM be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of Authorized Users use of or inability to use PRODUCT, even if INSYDIUM has been advised of the possibility of such damages. In no event will INSYDIUM be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. INSYDIUM shall have no liability with respect to the content of PRODUCT or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information. Installation of the software indicates your acceptance of these conditions.
